These General Terms and Conditions ("Terms") apply to the use of the Software-as-a-Service platform Helium Rooms (the "Service"), available at https://heliumrooms.com and on custom domains that customers connect to it.
The Service is provided by Lighthouse Intelligence, a sole proprietorship (eenmanszaak) registered in the Netherlands (Chamber of Commerce number 75754355), Onderduikersstraat 72, 9727 CX Groningen, the Netherlands, support@heliumrooms.com ("we", "us", "our").
By creating an account or using the Service, you agree to these Terms and the Data Processing Agreement, and confirm that you have read the Privacy Policy.
Deze voorwaarden gelden voor accounts die op of na 23 oktober 2026 zijn aangemaakt, en voor bestaande accounts vanaf 23 november 2026.
Article 1: Definitions
- Service: the Helium Rooms platform, including its applications, integrations, emails and documentation.
- Customer or you: the business that creates an account and uses the Service.
- Invitees: everyone you give access to the Service or to a room, such as your team members, your clients and visitors of rooms you make public.
- Customer Data: all data, content and files that you or your Invitees sync, upload or create in the Service, including data synced from your Linear workspace.
Article 2: Applicability
- These Terms apply to every offer, agreement and use of the Service. Your own purchasing or other terms do not apply.
- The Data Processing Agreement forms part of these Terms. If it conflicts with these Terms on the processing of personal data, the Data Processing Agreement prevails. The Privacy Policy explains how we handle personal data and is not part of the agreement.
- Deviations are only valid if we agree to them in writing.
- If a provision is invalid, the other provisions remain in force and the invalid provision is replaced by a valid one that comes as close as possible to its purpose.
Article 3: Business Use Only
The Service is intended exclusively for businesses. By signing up you confirm that you act in the course of a trade, business or profession, and not as a consumer.
Article 4: The Service
- The Service lets you show selected data from your Linear workspace to your clients and others in branded rooms, and lets them comment, vote, submit requests and upload files.
- The Service depends on the Linear API and on hosting, database, email and other providers. Synchronisation with Linear is best effort and its timing depends on Linear. Linear remains the source of truth for synced data.
- We may change, add or remove features. If a third party changes, limits or ends access that the Service relies on, we may change or stop the affected features.
- The Service is provided "as is". We do not warrant that it is free of errors, that it is available without interruption, that synchronisation is complete or immediate, or that data shown in a room matches Linear at every moment.
- Some data exists only in the Service, such as uploaded files, votes and approvals. You are responsible for keeping your own copies of data that is important to you. For lost data, our only obligation is to make reasonable efforts to restore it from our most recent backup.
Article 5: Accounts, Invitees and Rooms
- You are responsible for keeping login credentials safe and for all activity under your account.
- You decide who you invite, which rooms are public, which rooms can be found by search engines and what data is shown in them. Anyone with a link to a public room can see its content.
- You are responsible for your Invitees' use of the Service and for making sure they follow these Terms.
Article 6: Acceptable Use
- You and your Invitees may not use the Service to publish, upload or send content that is unlawful, infringing, misleading or malicious, to share personal data you have no right to share, to send unsolicited messages, to make excessive automated requests, or to attack or test the security of the Service without our written permission.
- You can report unlawful content or abuse to support@heliumrooms.com.
- We may remove content and suspend access immediately where needed to deal with a security risk, a legal obligation, a credible report of unlawful content or a breach of these Terms. We will inform you promptly.
Article 7: Customer Data and Your Responsibility
- You keep ownership of your Customer Data.
- You give us the right to process Customer Data to provide, secure and support the Service. When we process personal data on your behalf, the Data Processing Agreement applies.
- You are responsible for your Customer Data, for having a legal basis to share personal data in your rooms and with us, and for what you and your Invitees publish in the Service.
- You indemnify us against claims by third parties, including your clients and room visitors, that arise from your Customer Data, your instructions, or your breach of these Terms or of data protection law, except where the claim is caused by our breach of the Data Processing Agreement.
Article 8: Third-Party Services
- The Service integrates with third-party services such as Linear and Stripe. Their use is subject to their own terms.
- When you connect Linear, the Service reads data from your workspace and writes input from your rooms back into it: comments, requests, votes, attached files, and the name or email address of the person who submitted them. It also creates customer records in your workspace, named after that person's company domain or email address.
Article 9: Fees and Payment
- Paid plans are billed in advance on a recurring basis. Payments are processed by Stripe.
- We may change prices or the contents of plans, including the free plan, with at least 30 days' notice by email. A price change applies from your next billing period after that notice.
- Prices exclude VAT. While we use the Dutch small business scheme (kleineondernemersregeling), we charge no Dutch VAT. If that changes, VAT is added where applicable. If you are a business outside the Netherlands, you may have to account for VAT yourself under the reverse-charge mechanism.
- You are responsible for providing correct billing information.
- If you do not pay on time, we may suspend paid features after notifying you.
- Fees are non-refundable, except where these Terms say otherwise or mandatory law requires it.
Article 10: Availability and Maintenance
We aim for good availability but do not guarantee any uptime or response time. Maintenance and incidents at our providers can cause interruptions.
Article 11: Intellectual Property
- All intellectual property rights in the Service remain with us or our licensors.
- You receive a non-exclusive, non-transferable right to use the Service for the duration of the agreement.
Article 12: Confidentiality
Both parties keep confidential information of the other party confidential, unless disclosure is required by law.
Article 13: Liability
- Our total liability for any attributable failure or unlawful act, including under the Data Processing Agreement, is limited to direct damage. In total for all events in a contract year, it is limited to the amount you paid us in the 12 months before the first event that caused the damage. For accounts on the free plan this limit is EUR 100.
- We are not liable for indirect damage, including lost profit, lost revenue, lost savings, reputational damage, business interruption, and loss or corruption of data.
- Direct damage means only: reasonable costs to establish the cause and extent of the damage; reasonable costs to limit it; reasonable costs of making the Service conform to the agreement; and reasonable costs of restoring data from our backups.
- Liability only arises if you notify us in writing of the failure, give us a reasonable period to remedy it, and we still fail, unless a remedy is not possible. Any claim lapses 12 months after you became aware of it.
- These limitations also apply for the benefit of the people and providers we engage to provide the Service.
- These limitations do not apply where the damage is caused by our intent or deliberate recklessness.
Article 14: Force Majeure
- We are not liable for failures caused by force majeure. Force majeure includes failures of hosting, database, email, payment or integration providers (including Linear), internet outages, government measures, and cyberattacks despite reasonable security measures.
- If force majeure lasts more than 60 days, either party may terminate the agreement without liability.
Article 15: Term and Termination
- You may cancel your paid subscription at any time. The cancellation takes effect at the end of the current billing period, after which your account moves to the free plan.
- You end the agreement by asking us to close your account at support@heliumrooms.com.
- We may terminate or suspend your access if you materially breach these Terms and do not remedy the breach within 14 days after our notice. In serious cases, such as abuse or a security risk, we may do so immediately.
- We may end the Service or your subscription with 60 days' notice, or sooner if a third party forces us to. We will then refund prepaid fees for the unused period. That refund is your only remedy.
Article 16: Return and Deletion of Your Data
- At any time you can ask us to return your Customer Data in a common format or to delete it. We do so within 30 days of your request.
- When your account is closed, we delete your Customer Data within 30 days, unless you asked us to return it first. Data in our backups is removed when those backups expire, within 60 days.
- We may also delete the Customer Data of accounts that have been inactive for 12 months, after notifying you by email at least 30 days in advance.
- Data that the Service wrote into your Linear workspace stays there.
Article 17: Changes to the Terms
We will notify you by email of material changes to these Terms at least 30 days before they take effect. If you do not accept a change, you may terminate before it takes effect and we will refund prepaid fees for the unused period. Otherwise, continued use of the Service after that date means you accept the change.
Article 18: Miscellaneous
- We may transfer this agreement to a successor of our business, such as a private limited company (BV) we set up. We will inform you when we do.
- Provisions that by their nature should continue after termination, such as those on liability, indemnity, confidentiality and data deletion, remain in force.
- These Terms are available in English only. The English text is binding.
Article 19: Applicable Law and Disputes
These Terms are governed by Dutch law. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Disputes are submitted exclusively to the District Court of Noord-Nederland, location Groningen.
